What the agreement says

Summary of the mutual NDA you will receive. The PDF is the full text; this summary does not replace it.

• Parties. POC Management Consultancy (Makati) and the company or person you name, each represented by the named signatory.
• Purpose. Sharing information so POC can evaluate and, if engaged, provide consulting, registration, visa, accounting, tax, payroll, compliance or audit services in the Philippines.
• Confidential information. All non-public information exchanged for that purpose, including business plans, ownership, financial and tax matters, personnel and immigration details, and the fact and content of any consultation, whether or not marked confidential. Usual exclusions apply for public, previously known, third-party and independently developed information.
• Obligations. Use only for the purpose; reasonable care; disclose only to people who need to know and are bound by confidence; disclose to authorities only when legally required and, where lawful, with notice.
• Professional and privacy standards. POC is bound by the CPA Code of Ethics and the Data Privacy Act; personal data is handled per POC's privacy notice.
• No obligation to engage. Signing the NDA does not create an engagement; that requires a separate engagement letter.
• Term. Covers disclosures for two years; confidentiality survives three years after the last disclosure, and indefinitely for personal data and trade secrets.
• Law. Philippine law; courts of Makati City; electronic signatures valid under RA 8792.

Each agreement carries a unique reference number and a Philippine-time stamp. Keep your copy; POC keeps a record of the reference, the names and the time of signing.
